Affiliate Agreement DatingSiteBuilder requires that all members of its Affiliate Programs read, agree and acknowledge the Terms and Conditions described in this Affiliate Agreement. Terms of Use Partner access and use of the DatingSiteBuilder site and services, including without limitation the Affiliate Program described below, is conditioned on acceptance without modification of the following terms, conditions, and notices. Partner access and use of the DatingSiteBuilder site constitutes the Partner's agreement to all such terms, conditions, and notices. DatingSiteBuilder reserves the right in its sole discretion to change the terms, conditions, and notices under which access and membership to the DatingSiteBuilder Site/Services and Affiliate Program are offered. Partners are responsible for regularly reviewing these terms and conditions and additional terms posted on the DatingSiteBuilder Web site. Partner's continued use of the DatingSiteBuilder site constitutes the Partner's agreement to all such additional terms, conditions, and notices. Registration DatingSiteBuilder will provide potential Partners with the necessary documentation to initiate membership. Partner membership will begin upon the submission and acceptance of all properly completed documentation and forms. Subsequent participation in the DatingSiteBuilder Affiliate Program is contingent upon the proper completion of all such documentation and forms. DatingSiteBuilder reserves the right to ask for additional information about Partners. Failure to comply with requests from DatingSiteBuilder will result in termination of Partner status at management's sole discretion. Furthermore, a Partner's membership in the DatingSiteBuilder Affiliate Program may be terminated at the sole discretion of management. Payment Pay-Per-Lead program will be paid commission at the rate of 50% for each unique user joining DatingSiteBuilder and who was referred by partner and not partner himself or herself. Partner cannot refer himself/herself and earn commission. Joined members that originate from the same IP address in a 24-hour period will only be counted once. DatingSiteBuilder reserves the right to exclude multiple joins that in any way appear unusual, artificial or false in origin. Partner cannot refer himself/herself and earn commission. DatingSiteBuilder reserves the right to terminate suspected invalid leads. Payments will only be made provided that the amount owed to the Partner exceeds $100.00 and over 30 days. DatingSiteBuilder will hold payments owed until the $100.00 minimum is met and over 30 days. Any violation of this agreement, as determined solely by DatingSiteBuilder, may lead to termination from program participation and permanent withholding of payments owed. Payment for participation in the DatingSiteBuilder Affiliate Program will be made through Paypal. Reporting and Statistics DatingSiteBuilder will provide the Partner with secure access to the Partner Center. Partners will be able to view information about the number of clicks generated, and the amount of revenue earned. The Partner acknowledges that delivery statistics provided by DatingSiteBuilder are the official and definitive measurements of DatingSiteBuilder performance on any delivery obligations provided in the agreement. Unless otherwise agreed to by DatingSiteBuilder, no other measurements or usage statistics (including those of the Partner or any third party) shall be accepted by DatingSiteBuilder or have any effect on this Agreement. DatingSiteBuilder's counts and tallies are final in all regards. Restrictions The Partner agrees not to use the DatingSiteBuilder Site/Service for any purpose that is unlawful or prohibited by these terms, conditions, and notices. By way of example and without limiting the foregoing, Partners also agree not to engage in the following activities in connection with the Partner marketing or promotion of the DatingSiteBuilder Site/Service: warez, MP3s, ROMs, EMUs, sending SPAM, sending spam email, instant messaging (i.e. IMs or ICQs) the direct or indirect promotion of child pornography (including visual depictions of sexual behavior involving children regardless of the age of the models), violence or other patently offensive or prohibited speech via images, tags, links or content of any kind; violations of copyright, trade or service mark or otherwise protected or patented materials, services, intellectual property or processes; artificial or false generation of hits, click-through or traffic to this Site/Service; misleading or defrauding the sponsor or any other Partner; misrepresenting the cost, content or any other aspect of the service provided by us; acting in a way that would cause any reasonable person to terminate your membership. The Partner agrees not to display advertising or promotional materials inside a window without navigation controls, and/or giving the surfer an easy way to close the page or continue to navigate the web. Without limiting the foregoing, Partners agree not to copy, distribute or circumvent any of the software produced by DatingSiteBuilder. DatingSiteBuilder reserves the right to permanently withhold all outstanding payments in the event that membership is terminated for any such improper conduct. Limited Rights Each party acknowledges that this Agreement does not confer to it any rights in the other party's intellectual property, including trademarks and copyrighted materials. Except as otherwise set forth herein, neither party shall use the other party's trademarks, copyrights, or intellectual property without the other party's prior written permission. Each party's trademarks, product and service identifications, designs, logos and other symbols and devices associated with each party are and shall remain that party's property. Further, neither party shall reverse engineer the other party's intellectual property. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth herein, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless specifically agreed to by DatingSiteBuilder, Partner may not resell, assign, or transfer any of the rights outlined in this agreement. Any attempt by Partner to resell, assign, or transfer such rights shall result in immediate and automatic termination of this Agreement, without liability to DatingSiteBuilder. The Partner agrees and undertakes not to approach, solicit or respond to any inquiries from any person that DatingSiteBuilder has identified as a client, business partner (including advertisers and publishers) or prospective client or business partner, but only with regard to the given advertising campaign or advertisement relating thereto that DatingSiteBuilder identifies. This prohibition shall not apply in the event that Partner can demonstrate to DatingSiteBuilder that such client has already approached and is in bona fide discussions with Partner in respect of the same advertising campaign or advertisement. Warranty and Liability DatingSiteBuilder MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, LACK OF VIRUSES OR OTHER HARMFUL COMPONENTS AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED WITHIN THE DatingSiteBuilder SITE/SERVICE FOR ANY PURPOSE. ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. DatingSiteBuilder HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, TITLE AND NON-INFRINGEMENT. PARTNERS SPECIFICALLY AGREE THAT DatingSiteBuilder SHALL NOT BE RESPONSIBLE FOR UNAUTHORIZED ACCESS TO OR ALTERATION OF PARTNER TRANSMISSIONS OR DATA, ANY MATERIAL OR DATA SENT OR RECEIVED OR NOT SENT OR RECEIVED, OR ANY TRANSACTIONS ENTERED INTO THROUGH AN DatingSiteBuilder SITE/SERVICE. PARTNERS SPECIFICALLY AGREE THAT DatingSiteBuilder IS NOT RESPONSIBLE OR LIABLE FOR ANY THREATENING, DEFAMATORY, OBSCENE, OFFENSIVE OR ILLEGAL CONTENT OR CONDUCT OF ANY OTHER PARTY OR ANY INFRINGEMENT OF ANOTHER'S RIGHTS, INCLUDING INTELLECTUAL PROPERTY RIGHTS. PARTNER SPECIFICALLY AGREES THAT DatingSiteBuilder IS NOT RESPONSIBLE FOR ANY CONTENT SENT USING AND/OR INCLUDED IN A DatingSiteBuilder SITE/SERVICE BY ANY THIRD PARTY. IN NO EVENT SHALL DatingSiteBuilder AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE DatingSiteBuilder SITE/SERVICE, WITH THE DELAY OR INABILITY TO USE THE DatingSiteBuilder SITE/SERVICE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE DatingSiteBuilder SITE/SERVICE, OR OTHERWISE ARISING OUT OF THE USE OF THE DatingSiteBuilder SITE/SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF DatingSiteBuilder OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE DatingSiteBuilder SITE/SERVICE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE DatingSiteBuilder SITE/SERVICE. Confidential Information For the purposes of this Agreement, the term "Confidential Information" means non-public information that either party designates as being confidential or which, under the circumstances surrounding disclosure ought to be treated as confidential. Confidential Information includes, without limitation client lists and names, pricing terms, terms of this and any other agreement with DatingSiteBuilder, any information relating to such clients, members, as well as formulas, drawings, patterns, compilations, programs, methods, know-how, techniques, processes, information contained or embodied in products, devices or mechanisms, information relating to marketing, promotion, business policies, strategies or practices, and information received from others that either party is obligated to treat as confidential. Confidential Information disclosed by any subsidiary, partner, agent or related party of either party is covered by this Agreement. All Confidential Information shall be treated confidentially by the recipient of the Confidential Information and its employees and shall not be disclosed by the recipient without the disclosing party's prior written consent. The terms of this Agreement shall be deemed Confidential Information without further designation or marking. Partner agrees not to contest, in any court or other jurisdiction, the validity of any of the DatingSiteBuilder Intellectual Property, including, but not limited to, DatingSiteBuilder's trademarks, service marks, images, graphics, text or trade names. Partner shall not adopt, use, register, or apply for registration of, whether as a corporate name, trademark, service mark or other indication of origin, any of the DatingSiteBuilder trademarks, service marks or trade names, or any word or mark confusingly similar. The parties' obligations with regards to Confidential Information shall survive any termination of this Agreement. Privacy DatingSiteBuilder reserves the right to disclose any personal information about Partners or Partner use of the DatingSiteBuilder Site/Service, including its contents, without prior permission if DatingSiteBuilder has a good faith belief that such action is necessary to: (1) conform to legal requirements or comply with legal process; (2) protect and defend the rights or property of DatingSiteBuilder or its Partnered companies; (3) enforce the terms of use; or (4) act to protect the interests of its members or others. DatingSiteBuilder 's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of DatingSiteBuilder 's right to comply with governmental, court and law enforcement requests or requirements relating to Partner use of the DatingSiteBuilder Site/Service or information provided to or gathered by DatingSiteBuilder with respect to such use. Partners agree to indemnify and hold DatingSiteBuilder, its parents, subsidiaries, Partners, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the DatingSiteBuilder Site/Service. Termination of Agreement Either party may terminate this Agreement on fourteen (14) days written notice to the other party for any reason. Upon termination of agreement, all money owed to the Partner will be paid in full, provided the amount owed is greater than or equal to one hundred dollars ($100) and over 30 days. DatingSiteBuilder reserves the right to terminate an agreement at its discretion and for any reason, including low quality of traffic. In the event of termination caused by poor traffic, all money owed will be paid in full. Unless otherwise specified herein, this agreement constitutes the entire agreement between the Partner and DatingSiteBuilder with respect to the DatingSiteBuilder Site/Service and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the Partner and DatingSiteBuilder with respect to the DatingSiteBuilder Site/Service.
